By submitting your works to us for consideration, you agree to the following:
1. Interpretation and Definition of Terms
1.1 “Competition” means any competition held on the Website.
1.2 "Competition Submissions" means any information, data, text, articles, photographs, images, graphics, videos, postings and/or other types of written or visual works in any format or media submitted by you in accordance with the rules of the Competition.
1.3 "Competition Terms" means the terms, conditions, obligations, affirmations, warranties and representations for Competition Submissions as set out herein and as may be amended by Catapult Advertising Pte Ltd, its affiliates and related entities, from time to time (collectively referred to as "this agreement")
1.4 "Website" means the website with the URL, "http://www.goodeyedeer.com.sg/".
1.5 Unless the context otherwise requires;
1.5.1 words importing the singular number include the plural number, and vice versa, and words importing the masculine gender include the feminine and neuter genders, vice versa;
1.5.2 the words "hereof", "herein", "hereon" and "hereunder" and words of a similar import, when used in this agreement, refer to this agreement as a whole and not to any particular provision of this agreement;
1.5.3 the headings to the clauses hereof shall not be deemed to be a part thereof or be taken in consideration in the interpretation or construction thereof or of this agreement;
1.5.4 references herein to statutes and other legislation include re-enactments and amendments thereof and include any subordinate legislation made under any such statute; and
1.5.5 references herein to Catapult Advertising Pte Ltd includes its permitted assigns and transferees, and its successors-in-title and personal representatives.
2. Reservation of Rights
2.1 The Website is controlled and offered by Catapult Advertising Pte Ltd from its facilities in the Republic of Singapore. Catapult Advertising Pte Ltd makes no representations that the Website is appropriate or available for use in other locations. Those who access or use the Website from other countries do so at their own will and are responsible for compliance with applicable local laws.
2.2 Catapult Advertising Pte Ltd reserves the right to modify or discontinue the Website and/or the Competition (or any part thereof) at any time without prior notice and at its sole discretion. Catapult Advertising Pte Ltd shall not be liable to you or to any third party for any modification, suspension or discontinuance of the Website, or any resulting loss of content or Competition Submissions.
2.3 Catapult Advertising Pte Ltd reserves the right at its sole discretion at any time (but for the avoidance of doubt, shall not in any event be obligated) to:
2.3.1 review any and all Competition Submissions for appropriateness and compliance with these Terms or any other terms, conditions, rules, regulations, guidelines and/or policies Catapult Advertising Pte Ltd from time to time;
2.3.2 to delete or remove any content in the Website including any Competition Submission; and
2.3.3 reject or refuse to post or any content in the Website including any Competition Submissions, with or without cause, with or without prior notice and without any liability.
2.4 Where required by law, Catapult Advertising Pte Ltd may preserve and disclose the Contribution Submissions and any personal information relating to you in which is in its possession, with or without prior notice and without any liability to you.
2.5 The Competition Terms in this agreement operate to the fullest extent permissible by law. If any provision of these Competition Terms is unlawful, void or unenforceable, that provision shall be deemed to be deleted from the Competition Terms and the remaining provisions shall remain in full force and effect.
3. Assignment of Rights
3.1 You agree that all intellectual property rights in the Competition Submissions shall belong solely to Catapult Advertising Pte Ltd Catapult Advertising Pte Ltd shall have to sole and exclusive right to use, reproduce, adapt, distribute, publish, prepare derivative works of, display, and perform the Competition Submissions whether in connection with the Website, the Competition and the business of Catapult Advertising Pte Ltd or otherwise anywhere in the world, including without limitation for marketing, promoting and/or re-distributing the Competition Submissions or any part or all of the Website in any and all media and formats and through any and all channels.
3.2 You further irrevocably and unconditionally waive all rights to which you now or may in the future be entitled in respect of the Competition Submissions pursuant to provisions of the Copyright Act (Cap. 63) or to the extent permissible pursuant to any other legislation now or in future enacted under the laws in force in any part of the world.
3.3 You agree in relation to the Competition Submissions hereunder that:
3.3.1 you irrevocably and unconditionally grant to Catapult Advertising Pte Ltd, its successors, licensees and assigns all consents required under the Copyright Act (Cap. 63) and all other laws of any country throughout the world (whether currently in force or which may hereafter be enacted, promulgated or passed) which may be required for the development, exploitation and/or use of the Competition Submissions in any and all media by any manner or means whether or not now known, invented, used or contemplated throughout the world for the full period or periods of copyright protection, including all renewals, reversions and extensions, created or provided by the laws of any country throughout the world, and you further irrevocably and unconditionally assign to Catapult Advertising Pte Ltd, its licensees and assigns the right to assert, make or bring any claim, action or proceedings in respect of any unauthorised development, exploitation and/or use of the Competition Submissions;
3.3.2 you grant Catapult Advertising Pte Ltd, its successors, licensees and assigns the full right to use copy adapt change revise delete from add to and/or re-arrange any of the Competition Submissions and any other product of the Competition Submissions or any part thereof and to combine the same with other work in connection with the Competition Submissions to any extent as Catapult Advertising Pte Ltd in its sole discretion deems fit, and you irrevocably and unconditionally waive any and all rights provided by the laws of all countries throughout the world to object to any derogatory treatment of the Competition Submissions and any other product of the Competition Submissions and any and all moral rights;
3.3.3 Catapult Advertising Pte Ltd, its successors, licensees and assigns shall have the entire control and charge of the Competition Submissions and the manner and terms upon which the Competition Submissions is carried out, produced, distributed, marketed, exhibited and otherwise exploited in any and all media and any and all countries throughout the world;
3.3.4 Catapult Advertising Pte Ltd its successors, licensees and assigns shall have the right to reproduce your name, voice, likeness, characterisation, recording, photograph, images (whether still or moving), silhouette and/or biography in connection with the Competition Submissions (including the promotion and marketing of the Competition Submissions and/or product relating to the Competition Submissions) as Catapult Advertising Pte Ltd in its sole discretion deems fit;
3.3.5 where applicable Catapult Advertising Pte Ltd its successors, licensees and assigns shall have the right to make and/or authorise others to make any documentary on the making of the Competition Submissions and acknowledges that such documentary may include footage of so-called “behind-the-scenes” activities featuring persons including you and may incorporate any surplus or rejected material created by you, and accordingly to produce, distribute, market, exhibit and otherwise exploit such documentary in any and all media and any and all countries throughout the world; and
3.3.6 you shall, at the cost and expense of Catapult Advertising Pte Ltd, do any and all acts and execute any and all documents as may be reasonably required by Catapult Advertising Pte Ltd in order to perfect all or any of the rights, title or interest assigned or granted or purported to be assigned or granted to Catapult Advertising Pte Ltd under this agreement.
4 Warranties and Representations
You affirm, warrant and represent that:
4.1 the Competition Submissions are your original works and no part of them has been copied from the work of any other party so as to infringe the copyright, privacy rights, publicity rights, contractual rights or any other rights of any third party;
4.2 you own all the rights in the Competition Submissions and the power to enter into, exercise your rights, and perform and comply with your obligations under this agreement.
5 Prohibitions and Restrictions
You further agree that you will not:
5.1 submit, upload, post, transmit or otherwise make available any material that you do not have a right to make available, that is confidential or that belongs to any other party;
5.2 submit any material that infringes the intellectual property rights of any party;
5.3 submit material that is or is likely to be deemed illegal, unlawful, obscene, defamatory; libellous, threatening, violent, harassing, hateful, offensive, prejudicial against any individual or group or that encourages or is likely to encourage behaviour that is any of the aforesaid or which is otherwise likely to be deemed inappropriate, objectionable or unacceptable by any court anywhere in the world;
5.4 make or display any commercial or political messages of any kind in the Competition Submissions;
5.5 submit material that violates any person's privacy including but not limited to a photograph of any person without that person's consent;
5.6 publish falsehoods or misrepresentations, including but not limited to impersonating any person or entity or pretending to be associated with or related to any person or entity;
5.7 without the prior written consent Catapult Advertising Pte Ltd, post advertisements, personal information, unauthorised links, spam or any other material that involves or relates to the advertising and/or promotional activities or objectives of any business;
5.8 submit any material that provides or creates computer viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer or telecommunications software, hardware or system; or
5.9 interfere with or disrupt the Website or servers or networks connected to the Website, or disobey any requirements, procedures, policies or regulations of networks connected to the Website.
6 Liability and Indemnity
6.1 You shall be solely responsible for your own Competition Submissions and all consequences arising out of the posting and publishing of your Competition Submissions.
6.2 Neither Catapult Advertising Pte Ltd, its related companies, affiliates or businesses shall in any event be responsible for:
6.2.1 the content of the Website;
6.2.2 the conduct of users of the Website; and
6.2.3 monitoring the Website for inappropriate content or conduct, and shall have no obligation to modify or remove any inappropriate content.
6.3 Your use of the Website shall be at your sole risk. To the fullest extent permitted by law, Catapult Advertising Pte Ltd disclaims all warranties in connection with the Website and your use of the Website. Catapult Advertising Pte Ltd makes no warranties or representations about the accuracy or completeness of the content of the Website or of any third party websites linked to the Website and assumes no liability or responsibility for any errors, omissions, mistakes or inaccuracies of content or for any resulting loss or damage.
6.4 You shall indemnify, defend and hold harmless Catapult Advertising Pte Ltd `and its officers, directors, employees, agents, subsidiaries, parents, affiliates, business partners, successors and assigns from and against any and all claims, suits, losses, liabilities, causes of action, damages and costs (including but not limited to legal costs) arising out of or relating to your Competition Submissions or your use of this Website, including but not limited to (i) your breach or alleged breach of these Competition Terms; (ii) the use of content of the Website in a manner not authorized under any terms of use of the Website; (iii) use by other users of the Website of any content (including but not limited to the Competition Submissions), or (iv) claims that the Competition Submissions or the promotion of the Competition Submissions violate or infringe any copyright, literary, privacy, publicity, trademark, service mark, patent, or any other personal or property right of any person.
7 Miscellaneous
7.1 No waiver of any term of these Competition Terms shall be deemed a further or continuing waiver of such term or any other term, and our failure to assert any right or provision hereunder shall not constitute a waiver of such right or provision.
7.2 No third party shall have any right pursuant to the Contract (Rights of Third Parties) Act (Cap. 53B) of the Republic of Singapore to enforce any of the Competition Terms.
7.3 This agreement shall be governed by and construed in accordance with the laws of Singapore and you agree to submit to the non-exclusive jurisdiction of the courts of Singapore.
